Code Of Ethics

Chesapeake Utilities Corporation promotes professional conduct and ethical business practices at every level. All of Chesapeake’s employees, officers and directors are required to review the Company’s Business Code of Ethics and Conduct, which describes our standards of business conduct. The Company’s senior managers, officers and directors must annually certify their compliance, as they are responsible for assuring that Chesapeake’s corporate governance is of the highest quality, and complies with New York Stock Exchange and Securities and Exchange Commission requirements.

On a similar front, the Board of Directors adopted a Code of Ethics for Financial Officers. Chesapeake’s Chief Executive Officer (CEO), Chief Financial Officer (CFO), the Treasurer and its Corporate Controller are required to annually review, sign and adhere to this Code of Ethics. These individuals hold an important role in that they are responsible for ensuring accurate and timely disclosures of financial information in Chesapeake’s filings with the Securities and Exchange Commission.
