Our Supplier Code of Conduct outlines the standards, expectations, and behaviors required of those within our supply chain.

We expect those in our supply chain to:
- Promote a drug-free, violence-free workplace.
- Have a zero-tolerance culture for any form of harassment or discrimination in the workplace.

We act with Integrity
We tell the truth. Ensure moral and ethical principles drive our decision making. Do the right thing even when no one is watching.
We expect those in our supply chain to:
- Comply with all applicable laws.
- Comply with all applicable anti bribery and anti-corruption laws, including but not limited to the US Foreign Corrupt Practices Act.
- Do not offer, give, solicit, or accept bribes, kickbacks, or improper payments of any kind.
- Ensure gifts, entertainment, and hospitality are reasonable, lawful, and not intended to improperly influence business decisions.
- Maintain accurate books, records, and documentation and do not falsify or misrepresent business records or certifications.

We expect those in our supply chain to:
- Act in an ethical manner and be accountable and reliable.Avoid conflict of interest and promptly disclose any actual or potential conflicts involving Chesapeake Utilities employees or business relationships.
- Comply with applicable environmental laws and regulations.
- Minimize environmental impact through responsible resource use and waste management.
- Maintain appropriate quality control processes to ensure goods and services meet applicable standards and contractual requirements.
- Promptly notify Chesapeake Utilities of any issues that could affect safety, quality, delivery, or continuity of service.
- Maintain reasonable business continuity and disaster recovery plans where services are critical to operations.
Data Privacy, Confidentiality and Information Security
Suppliers shall protect all confidential, proprietary, and personal information, including intellectual property, and comply with applicable data protection and privacy laws. Suppliers shall implement appropriate safeguards to prevent unauthorized access, disclosure, or misuse of such information. In the event of a data privacy, confidentiality, or information security breach, suppliers shall contact [email protected] within 24 hours.
Suppliers are expected to use Chesapeake Utilities’ information solely for authorized business purposes and promptly notify Chesapeake Utilities of any actual or suspected data breach or cybersecurity incident affecting company data.
Health and Safety
Suppliers are required to provide a safe and healthy working environment and comply with all applicable occupational health and safety laws and regulations. Suppliers are expected to proactively identify hazards, manage risks, report incidents, and take corrective actions to prevent workplace injuries and illnesses.
Labor & Human Rights
Suppliers shall comply with all applicable labor and employment laws, including wage, hour, and working condition requirements. Suppliers must prohibit forced labor, child labor, and human trafficking, and respect freedom of association and collective bargaining rights where applicable.
Supplier Standards
Seller shall ensure that their employees, agents, and subcontractors are informed of and comply with Chesapeake Utilities’ Supplier Code of Conduct, including requirements related to labor practices, human rights, health and safety, environmental compliance, and ethics.
Reporting Concerns and Non-Retaliation
Suppliers are expected to report suspected violations of this Code or applicable laws. Reports may be made through Chesapeake Utilities’ confidential Ethics Help Line, anonymously if preferred, by phone at 844.711.0286 or online at the link below, 24 hours a day, seven days a week: EthicsPoint – Chesapeake Utilities Corporation. Chesapeake Utilities prohibits retaliation against any individual who reports concerns in good faith.
Monitoring and Compliance
Chesapeake Utilities reserves the right to assess supplier compliance with this Code, including through audits, documentation reviews, and site visits. Suppliers agree to cooperate and provide relevant information upon request.
Violations
Failure to comply with this Code may result in corrective action, up to and including termination of the business relationship.

Adhering to this Supplier Code of Conduct is the foundation of a successful business partnership. We also refer you to our Business Code of Ethics and Conduct. While no set of guidelines can be all inclusive, we provide these values as a base for conducting business with us. Upholding the highest standards and values is a shared responsibility, one we take seriously.
When doing business with Chesapeake Utilities Corporation, this Supplier Code of Conduct extends to suppliers and their agents, representatives, partners, subcontractors, and other parties performing services on their behalf.
The Supplier Code of Conduct may be incorporated by reference into contractual agreements with suppliers.
This Supplier Code of Conduct does not create contractual rights or establish any legal requirements for doing business with, or on behalf of, Chesapeake Utilities Corporation or its subsidiaries or affiliates.
